Welcome to Joynote.ai Inc (“Company”, “we”, “our”, “us”)! As you have just clicked our Terms of Service, please pause, grab a cup of coffee and carefully read the following pages. It will take you approximately 15 minutes.

These Terms of Service (“Terms”, “Terms of Service”) govern your use of our web pages located at Privacy operated by Geofits LLC company.

By accessing and using this website https://joynote.ai/ or any of our services, you agree to comply with and be bound by these Terms and Conditions.

**Please read these terms carefully.** By using our Service, or otherwise indicating your acceptance, you represent and affirm that you have read, fathom, and agree to be bound by these Terms. If you do not agree, please do not access or use our Service.

Amendment to the Terms and the JoyNote Service

(a) We Might change these terms of service: Anytime we may amend, replace or modify these terms of service if we deem necessary to do so by changing or adding the functionality of the JoyNote Service, for law compliance, any reasonable commercial reasons, or otherwise to safeguard our legitimate interests.
(b) We may notify you of any changes we make to our terms of service: If any change we make to these terms of service might harm you, let us know, and we will try to use our best efforts to share with you the change in advance (for example, we may put a notification on site), and we shall try to do so at least one month before to any new terms deem to take effect.
(c) Please Check Out These Terms of Service for Changes: It should be your responsibility to check these terms of service and regularly see any changes. If you disagree with any changes made to these terms of service, you may please stop using the JoyNote Service.
(d) Continued use deems to be acceptance: As you continue using our JoyNote Service, you will be accepting any changes to these terms of service, as stipulated above.
(e) We may change the JoyNote Service and functionality: You agree that JoyNote Service is always evolving, and we are liable to change parts of the JoyNote Service and its functionality constantly.

Technology services

Artificial Intelligence Services, for certain services, JoyNote.ai may employ Artificial Intelligence (AI) or other similar technologies, which may include the processing of user data. JoyNote.ai will take reasonable means to preserve the privacy and security of such data, but JoyNote.ai is not liable for any loss or harm resulting from the user's use of AI or similar technologies. By utilizing JoyNote.ai services, the user understands and accepts the risks involved with the use of AI or similar technologies and agrees to indemnify and hold JoyNote.ai harmless for any claims, damages, or losses resulting from such usage.

Purchases

If you wish to purchase any product or service made available through Service (“Purchase”), you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information.

You represent and warrant that: (i) you have the legal right to use any credit card(s) or another payment method (s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct, and complete.

We may employ the use of third-party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.

We reserve the right to refuse or cancel your order at any time for reasons including but not limited to product or service availability, errors in the description or price of the product or service, error in your order, or other reasons.

We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.

Refunds

Except when required by law, paid Subscription fees are non-refundable.

Account Terms

Eligibility: Our Service is intended only for access and use by individuals of at least sixteen (16) years old. By accessing or using any of JoyNote Services, you warrant and represent that you are at least sixteen (16) years of age and legally capable of binding contracts and abide by all of the terms and conditions of the Terms. If you are underage, please obtain consent from an adult like your parent or guardian to use the JoyNote Service. These adults must agree to be bound on your behalf by our JoyNote.ai terms of service.

Account Creation

a) Create an account to use the JoyNote.ai Service: To use our JoyNote Service, one must create an account with us. And please provide accurate and updated information. You must maintain and update your details from time to time, or any other information you may provide.

b) Use Accurate Information: When you create a JoyNote account, you guarantee that you are above 16 years old, and that the information you provide us is authentic, complete, and true at all times. Inaccurate, indefinite, or imprecise information may result in the immediate termination of your account.

c) Maintain your password: You are held responsible for maintaining the confidentiality of your JoyNote.ai account/password, including but not limited to the curb of access to your Joynote account and/or computer. You must notify us promptly upon becoming aware of any rift of security or unauthorized use of your JoyNote account.

d) Choose an appropriate username: You may not use a username of another person or entity that is not lawfully yours, a name or a brand that is subject to the rights of another person or other entity, without applicable authorization. You may not use a username that's offensive, vulgar, or obscene.

e) Resolution of Dispute of Ownership: In case of a dispute on a JoyNote Account ownership, we reserve the right to arbitrate ownership to an Account based on our reasonable verdict, whether or not through an independent investigation supervised by us. However, if we cannot make such a settlement (as we may deem in our sole discretion), we reserve the right to suspend such User Account until the parties disputing the ownership, reach a decision, without liability to you or to any other party. We may request specific documentation (e.g. government-issued ID, or a business license) that may support us in determining such ownership

Communications

By creating an Account on JoyNote, you agree to subscribe to our newsletters, marketing or promotional materials, and other information we may send over time. However, you may opt out of receiving any, or all, of these email communications by clicking on the unsubscribe link or by emailing us at support@JoyNote.ai.

Content Policy

Our Service allows you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material (“Content”). You are responsible for Content that you post on or through Service, including its legality, reliability, and appropriateness.

(b) By posting Content on or through Service, : You represent and warrant that: (i) Content is yours (you own it) and/or you have the right to use it and the right to grant us the rights and license as provided in these Terms, and (ii) that the posting of your Content on or through Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person or entity. We reserve the right to terminate the account of anyone found to be infringing on a copyright.

(c) You retain any and all of your rights to any Content you submit: post, or display on or through Service and you are responsible for protecting those rights. We take no responsibility and assume no liability for the Content you or any third party posts on or through the Service. However, by posting Content using Service you grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through Service. You agree that this license includes the right for us to make your Content available to other users of the Service, who may also use your Content subject to these Terms.

JoyNote.ai has the right but not the obligation to monitor and edit all Content provided by users. In addition, Content found on or through this Service is the property of JoyNote.ai or used with permission. You may not distribute, modify, transmit, reuse, download, repost, copy, or use said Content, whether in whole or in part, for commercial purposes or for personal gain, without express advance written permission from us.

Prohibited Use

You may use the Service only for lawful purposes and in accordance with the Terms. You agree not to use Service:

In any way that violates any applicable national or international law or regulation. For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise. To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail”, “chain letter,” “spam,” or any other similar solicitation. To impersonate or attempt to impersonate Company, a Company employee, another user, or any other person or entity. In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity. To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of Service, or which, as determined by us, may harm or offend the Company or users of Service or expose them to liability.

Additionally, you agree not to: Use Service in any manner that could disable, overburden, damage, or impair Service or interfere with any other party’s use of Service, including their ability to engage in real time activities through Service. Use any robot, spider, or another automatic device, process, or means to access Service for any purpose, including monitoring or copying any of the material on Service. Use any manual process to monitor or copy any of the material on Service or for any other unauthorized purpose without our prior written consent. Use any device, software, or routine that interferes with the proper working of Service. Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful. Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of Service, the server on which Service is stored, or any server, computer, or database connected to Service. Attack Service via a denial-of-service attack or a distributed denial-of-service attack. Take any action that may damage or falsify Company's rating. Otherwise attempt to interfere with the proper working of Service. Analytics

Intellectual Property

Our Intellectual Property Rights: The Intellectual Property Rights in the JoyNote.ai Service, the Website, and their content (which excludes your Content, but includes the JoyNoteContent), the features and functionality remain our exclusive property, and you shall not in any way try to challenge that ownership.

There will be no transfer of our Intellectual Property Rights to you: We allow JoyNote.ai Service only if authorized by us (that includes the use following terms and conditions). As a user, you get a limited, non-exclusive, non-transferable, and revocable right to use the JoyNote Service to create, use, display, and upload the Content following these terms of service.

How the JoyNote Service must not be used:You must never use the JoyNote.ai Service with any product or service not affiliated with us or may put us into disgrace.

Responsibility for material posted by othersAny opinions, advice, service statements, offers, or any other information or content exhibited or made available by other users are from reputable authors or distributors and not from us.

Your responsibilities in using JoyNote Content:If we show you any videos, images, icons, graphics, or any other content (JoyNote Content) for you to use concerning the JoyNote.ai Service, you must:

v (1) only use JoyNote.ai Content on your Page and not anywhere else;
(2) comply with any reasonable guidelines or terms, even if they may be those of a third party, but with the JoyNote.ai Content provided.

Feedback and Suggestions

If you provide us with any suggestions, opinions or any other feedback relating to the JoyNote Services, which is or may be related to any Intellectual Property rights such Feedback shall be exclusively owned by JoyNote. By providing such Feedback, you acknowledge and agree that it may be used by JoyNote.ai in order to: (i) further develop, customize and improve JoyNote Services,

  1. provide ongoing assistance and technical support to our users.
  2. (iii) contact you with general or personalized JoyNote -related notices and/or interview requests based on your feedback or suggestions,
  3. (iv) facilitate, sponsor, and offer certain promotions, and monitor performance,
  4. (v) to create aggregated statistical data and other inferred information, which JoyNote may use to provide and improve its services,
  5. (vi) to enhance JoyNote data security and fraud prevention capabilities, and
  6. (vii) to comply with any applicable laws, rules and regulations.

In addition, you (1) represent and affirm that such Feedback is accurate, complete, and does not breach any third party rights;
(2) irrevocably assign to JoyNote any right, or interest you may have in such Feedback provided and
(3) explicitly and completely waive all and any claims concerned to any of the past, present or future moral rights, or any other similar rights worldwide concerned with such Feedback.

Intellectual Property

(a) Our Intellectual Property Rights: The Intellectual Property Rights in the JoyNote Service, the Website, and their content (which excludes your Content, but include the JoyNoteContent), the features and functionality remain our exclusive property, and you shall not in any way try to challenge that ownership.

(b) There will be no transfer of our Intellectual Property Rights to you: The JoyNote Service has copyright protection, trademark, and other laws of foreign countries. Our trademarks and any other trade names may not be used for any of our products or service without our written consent. There is nothing in our terms of service that constitutes a transfer of our Intellectual Property Rights to you.

(c) Your limited rights to use the JoyNote Service: We allow JoyNote Service only if authorized by us (that includes the use following terms and conditions). As a user, you get a limited, non-exclusive, non-transferable, and revocable right to use the JoyNote Service to create, use, display, and upload the Content following these terms of service.

Privacy of data

(a) Our data and guardianship: All the data content (or any Intellectual Property Rights in data) that the JoyNote Service or we generate based on how you use (or End Users', or other users' use) of the JoyNote Service or the Content (Data)we will own it and you shall not dispute the ownership.

(b) We may supply you with Data: We may provide you Data or visualizations of it to you as part of the JoyNote Service (Data Analytics). We don't represent or warrant the accuracy or completeness of the Data Analytics. However, we shall try to ensure it's accurate and complete as much as possible.

(c) Please peruse and refer to our Privacy Policy: Our Privacy Policy also applies to the way we may gather, use, and disclose your personal information.

Limitation of Liability

Except as prohibited by law, in each applicable jurisdiction, JoyNote, its officers, directors, employees, agents and/or affliates shall not be liable to you for any indirect, punitive, special, incidental, or consequential damages, whether, including any damages resulting from (1) errors, mistakes, or inaccuracies of any content;
(2) any personal harm or property damage related to your use of the JoyNote Services, or distributing, copying, or downloading the Content from the JoyNote Service.
(3) any unauthorized use of our servers or any personal information or other information stored therein;
(4) any interruption or discontinuance of transmission to or from the JoyNote Services;
(5) events beyond the reasonable control of JoyNote, including any internet failures, electrical power failures, equipment failures, strikes, riots, civil disturbances, fires, storms, floods, earthquakes, explosions, war, terrorism, governmental actions, orders of courts, tribunals or non-performance of third parties;
(6) loss of use, goodwill, data, profits, or other intangible losses, resulting from the use or the inability to use any or all of JoyNote Services.

You acknowledge and agree that these limitations of liability are agreed allocations of risk constituting in part the consideration for JoyNote’s services to you, and such limitations will apply even if JoyNote has been advised of such possibilities.

Third-party Services

(a) We don’t endorse third party services: Unless specified, we never endorse (make any warranties or representations in connection to) any product or service from the third party and your use of those third-party products or service, which could be subject to divide terms and conditions which you need to review and agree.

(b) No refunds issued: Any payments you make to the third party are non-refundable.

(c) Suspension or cancellation of your account: If you disagree with the third party terms and conditions, you may not use it, and we might suspend, cancel, or delete your user account. Alternatively, we may also limit several functionalities.

Disclaimer of Warranties

(a) You use the JoyNote Service at your own risk: Your use of the JoyNote Service will be at your sole risk. The JoyNote Service is offered on an "AS IS" and "AS AVAILABLE" basis. The JoyNote Service is provided with no warranties of any kind, whether exhibits or implied, include, but not limited to, availability, up-time, or suggested warranties of merchantability, non-infringement, or course of performance.

(b) We make no warranties about the JoyNote Service: We, or our subsidiaries, affiliates, and licensors, do not warrant or constitute that:

  1. 1. the JoyNote Service continues to function securely and uninterrupted and may be available for use at any particular time or location;
  2. 2. if any errors or defects found, they will get corrected;
  3. 3. our Service has no viruses or any other harmful components;
  4. 4. using the JoyNote Service will ensure you meet your requirements.

(c) Extent of this disclaimer: This disclaimer applies to any kind of damages or injury that may occur due to any performance failure, error, deletion omission, interruption, defect, operation delays or transmission, computer virus, line failure communication, destruction theft, unauthorized access or, alteration of use of the record in relation with the use or operation of the JoyNote Service, whether for, tortious behavior, negligence, rift of contract or other cause of action stipulated.

(d) We don't make any warranties about the JoyNote Service content:We don't do representations or any warranties, express or implied, completeness, accuracy, reliability, suitability, or availability. There is nothing in these terms of service that intends to exclude, restrict, or modify the rights you stand to have under any law that is not excluded, restricted, or modified by agreement.

(e) Beta functionality: Anytime we might add certain functionality of the JoyNote Service available to you in beta (but will mark the functionality as 'beta' or similar). But we continue to evaluate and test such beta functionality. And for that reason, we may not be as dependable as our other parts of the JoyNote Service.

We may have the rights to cancel your account:

(a) Our rights to discontinue or cancel your account: If you fail to comply with any of these terms of service (Prohibited Use), and (Intellectual Property), we may discontinue or cancel your user account. And also limit the JoyNote.ai Service functionality that you access. But if, according to non-compliance, we don't have this right to discontinue or cancel, if we find a repeat of non-compliance on your account or any non-compliance material, we are likely to do so.

(b) You have the right to approach us with any issues: If you find any issues with any of our decision, with the performance of the JoyNote Service, or anything else in relation to these terms of service, kindly reach us by emailing us at support@joynote.ai (Issue Notice). After receiving an Issue Notice from you, we try to resolve it reasonably in good faith until we find a solution. We don't advise legal proceedings or take formal or public action concerning this. We take at least a month to try to resolve it.

Governing Law

These terms of service shall be governed in accordance with the laws of State of California. Our failure to reinforce any right or provision of these terms of service will not be considered a waiver of those rights. If any the provisions of these terms of service is held to be invalid or null by the court, the remaining provisions of these terms of service will remain in effect. These terms of service constitute the entire agreement between us and regarding our Service and supersede or replace any previous agreements we might have had between us regarding JoyNote Service.

Entire Agreement

These terms of service (with the Privacy Policy) are an agreement representation between you and us regarding how you should access our website and use the JoyNote Service. There should not be any other term added in these terms of service unless legislation finds it necessary. We have expressly excluded all implied terms except the ones implied by statute and cannot be excluded.

Waiver and Severability

If we fail to insist on enforcing any provision of these terms of service, we shall not be construed upon as a waiver of such provision or right. If any provision of Terms is held by the court or any other tribunal of competent jurisdiction to be unreasonable, illegal or unenforceable for any reason, , then it will get severed from these terms of service. As the remainder of these terms of service continues to apply with such amendments. It is strictly necessary to consider severance.

Acknowledgement

By using Service or other services provided by us, you acknowledge that you have read these Terms of Service and agree to be bound by them.

JoyNote Community Standards

As a corporate responsible and growing company our ongoing efforts is to make JoyNote a trusted platform for its users. Hence, we've developed guidelines that go hand-in-hand with our Terms and Conditions and Privacy Policies. These Community Standards outline the do's and don'ts of using JoyNote so that we can keep you and your audience safe. Please review our Community Standards below -- you're agreeing to abide by them by using your JoyNote and if you choose not to you are reserving the right for JoyNote to block, remover links, or delete your account. Spam and Fraud

Don’t use JoyNote to spam or scam visitors, including linking out to external sites which might collect personal information under false pretenses. This will cause a removal or ban of your account from the JoyNote network.

Hate speech

JoyNote is a place to share beliefs and ideas as long as it does not cause harm, incite hatred or violence, or discriminate against individuals and groups based on race, skin color, national origin, religious beliefs, sex, gender, sexual orientation, age, veteran status, disability or medical condition. We’re also not a platform that should be used to glorify perpetrators of hatred, violence, or discrimination either.

Electoral Voting Fraud

Don’t use JoyNote to impede your local/national electoral process, which includes misleading the public about where and how to participate, or about who can participate, and selling or attempting to sell your right to vote.

Adult Content

We want to empower creators of all kinds to create their own space on the Internet. We also want to make sure that Bio and QR visitors, including minors, can make informed decisions before they click. If you’re linking out to adult content on your JoyNote ensure that:

(1)the content you're linking to is legal in your region, (2)the media onyour JoyNote such as your avatar, remains suitable for all ages (3)you enable the sensitive content label appropriately, especially if you're embedding content feeds that may contain adult material

URLs & Account Name

JoyNote usernames are meant for everyone-- so don’t buy, sell, hoard or trade them. Don’t secure a username without the intention of using it, or with the intention to ‘domain squat’, i.e. to prevent someone else from using it, or to profit from reselling it. This is illegal in some countries, and JoyNote does not allow it.

Illegal goods & services

Don’t use JoyNote to advertise or facilitate the sale of regulated or illegal goods or services, including (but not limited to):

  1. 1. Alcohol (you may advertise the sale of alcohol with a liquorlicense)
  2. 2. Drugs
  3. 3. Weapons Weapon schematics Body parts (including bodyfluids, blood etc.)
  4. 4. Offers for adoption / surrogacy 
  5. 5. Counterfeits
  6. 6. Embargoed goods
  7. 7. Endangered or protected species or parts of
  8. 8. Fireworks and explosives
  9. 9. Hazardous / toxic materials 
  10. 10. ID documents
  11. 11. Personal info or mailing lists
  12. 12. Regulated plants, insects, animals
  13. 13. Recalled items Stolen items
  14. 14. Tobacco products, inc. e-cigarettes
  15. 15. Products offered through multi-level marketing schemes
  16. 16. Gambling
  17. 17. Human trafficking or prostitution.

JoyNote should also not be used to encourage or facilitate any form of illegal activity, including the sale of illegal goods or services. Any content that you target at minors must not promote any content (including products or services) that is inappropriate, or that exploit or exert undue pressure on the targeted individuals.

Harassment

Don’t use JoyNote to target individuals with the intention to intimidate, harass, threaten, or bully.

Underage & Child Harm

JoyNote has a no tolerance policy for child harm. Do not upload or link out to content that harms minors or endorses harming minors, including, child sexual abuse material, solicitation of minors, and imagery that feature underage individuals within an inappropriate context. We actively report any such cases of child endangerment or harm uploaded to or linked out from JoyNote to relevant authorities, i.e. the National Center for Missing and Exploited Children.

Self-Harm

We want JoyNote to be a place where users can feel safe as they discuss the journey of recovery in a healthy way but we also want users to feel safe when visiting, so we prohibit content that promotes or idealizes suicide, self-mutilation, disordered eating, or potentially harmful alternatives to medical treatment.

Violent Content

Don’t use JoyNote to share content intended to shock and disturb visitors such as gore, mutilation, excessive violence, or physical abuse.

You should not upload content that infringes an individual's intellectual property rights (including copyright, trademarks, and patents). If you believe your intellectual property rights are being infringed because of content on JoyNote, please reach out to us HERE

Impersonation & Privacy

Maintaining individual privacy is very important on JoyNote- it’s why we collect so little information from our users! We don’t allow JoyNote profiles that expose others’ personal identifying information (billing details, IDs, etc.), collect identifying information without the appropriate legal basis (including IP addresses), or expose private media (image-based sexual abuse, etc.). We also don’t allow JoyNote profiles that impersonate other individuals or organizations.

Misinformation

Don't use JoyNote to post misinformation. This includes content that you know or suspect is false, inaccurate or is intended to misinform others.
